Terms and Conditions

1. Agreement to These Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Property Link, operated by Homeverything, LLC, or its applicable successor or affiliated operating entity ("Property Link," "Company," "we," "our," or "us"). These Terms govern your access to and use of the Property Link website, mobile applications, software, content, communication tools, service marketplace features, booking tools, payment functionality, Stripe Connect-enabled marketplace payment features, referral programs, promotional programs, and related products and services (collectively, the "Platform").

By accessing, browsing, registering for, creating an account with, using, booking services through, providing services through, communicating through, making or receiving payments through, participating in referral programs through, or otherwise interacting with the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Platform.

You must be at least eighteen (18) years of age and have the legal capacity to enter into these Terms. By using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Definitions

Platform

The Property Link website, mobile applications, software, services, communications, marketplace functionality, payment functionality, referral functionality, and related offerings.

Homeowner

A user who requests, books, pays for, receives, or evaluates services through the Platform, including property owners and authorized property representatives.

Service Provider

An independent business or individual that offers, bids on, books, performs, or is paid for services through or in connection with the Platform.

Realtor

A user or business participating in advertising, sponsorship, referral, promotional, or marketplace visibility features, subject to applicable licensing laws.

Sponsor

A user or business that purchases or receives promotional placement, advertising, sponsorship, geographic visibility, or related marketing opportunities through the Platform.

Referral Partner

A user or participant eligible under Platform rules to receive referral-based compensation from qualifying transactions.

Influencer

A person or entity engaged in promotional, referral, ambassador, business-development, community, or similar activities on behalf of or in connection with the Platform, subject to applicable program terms.

Qualifying Transaction

A completed, paid, non-fraudulent, non-refunded, non-reversed transaction that satisfies all Platform eligibility requirements and generates actual net platform revenue for Property Link.

Net Platform Revenue

The amount actually retained by Property Link from a Qualifying Transaction after refunds, chargebacks, reversals, taxes, discounts, processor fees, credits, promotional adjustments, and other excluded amounts, unless otherwise defined in a separate program policy.

Payment Processor

Stripe Connect, Stripe, or another designated third-party payment processor or financial service provider used to facilitate marketplace transactions, compliance, identity verification, payment processing, and payouts.

Additional terms may be defined elsewhere in these Terms.

3. Property Link Marketplace Services

Property Link is a technology platform that facilitates connections, communications, booking workflows, payment workflows, referral tracking, and related marketplace functions among independent users.

The Platform may provide features for:

• provider discovery and search
• service requests, quote requests, bids, bookings, scheduling, and service history
• messaging, notifications, support, and transaction updates
• reviews, ratings, provider profiles, sponsor profiles, and promotional placements
• payment facilitation through Stripe Connect or another designated Payment Processor
• commission, referral, influencer, sponsor, or community-partner tracking
• property-related tools, reminders, education, maintenance information, and marketplace functionality.

Property Link provides technology and marketplace facilitation services only. Property Link does not itself perform home services, repairs, maintenance, inspections, installations, construction, contracting, consulting, brokerage services, emergency services, or professional services.

4. Marketplace Role Disclaimer

Property Link is solely a marketplace facilitator and technology provider. Property Link is not:

• a contractor
• a subcontractor
• a home improvement company
• a construction manager
• a staffing company
• an employer
• an insurer
• a guarantor
• a professional services firm
• a property manager
• a real estate brokerage
• a licensed escrow company
• a bank
• a trust company
• a money transmission business, except to the extent payment services are facilitated by authorized third-party providers

All service agreements, project scopes, pricing, work expectations, entry arrangements, materials, warranties, and service obligations are entered into directly between the applicable Homeowner and Service Provider.

Property Link does not supervise, direct, manage, inspect, certify, warrant, guarantee, or control services provided by independent Service Providers. Property Link makes no guarantee regarding quality, timeliness, safety, professionalism, licensing status, insurance status, pricing, availability, suitability, compliance, or outcomes.

Users assume all risks associated with engaging with one another through the Platform, subject to rights that cannot be waived under applicable law.

5. No Agency, Employment, Partnership, or Fiduciary Relationship

All users participate on the Platform independently. Nothing in these Terms or in the operation of the Platform creates any employment, agency, partnership, franchise, joint venture, fiduciary, trust, brokerage, contractor, subcontractor, or representative relationship between Property Link and any User.

Service Providers, Realtors, Sponsors, Influencers, Community Partners, Referral Partners, Homeowners, and all other users are independent parties and are not employees, agents, representatives, franchisees, partners, fiduciaries, or legal representatives of Property Link.

Property Link owes no fiduciary duty to any User, including with respect to transaction administration, payment processing, payout timing, referral attribution, commission eligibility, dispute handling, provider visibility, provider ranking, platform access, or account status.

6. User Assumption of Risk

Users acknowledge that use of the Platform involves interactions with independent third parties, access to private residences or commercial properties, transmission of information, payment processing, marketplace transactions, service work, referrals, marketing activity, and other interactions that carry inherent risks.

By using the Platform, Users voluntarily assume all risks associated with engaging, hiring, meeting, communicating with, providing services to, receiving services from, or otherwise interacting with other Users.

Such risks may include, without limitation:

• property damage
• theft
• fraud
• misrepresentation
• personal injury
• bodily injury
• death
• negligence
• defective workmanship
• permit violations
• code violations
• construction defects
• professional errors
• delays
• disputes
• misconduct
• criminal acts
• payment disputes
• chargebacks
• inaccurate user information
• unsatisfactory service outcomes.

Property Link does not control and cannot guarantee the conduct, actions, qualifications, integrity, safety, legality, or performance of any User.

7. Service Provider Responsibilities

Each Service Provider represents, warrants, and agrees that it is solely responsible for:

• maintaining all required licenses, registrations, permits, and authorizations
• maintaining insurance appropriate to its business and services
• maintaining workers compensation coverage where required by law
• complying with all applicable federal, state, county, municipal, and local laws
• obtaining permits and approvals required for work performed
• jobsite safety and compliance practices
• workmanship, quality control, and completion of services
• employees, independent contractors, laborers, agents, assistants, and subcontractors
• tools, materials, equipment, vehicles, and methods of work
• tax reporting, tax payment, withholding, and regulatory obligations
• customer communications, warranties, and representations made to other Users.

Service Providers are solely responsible for all services they perform and for the acts, omissions, negligence, misconduct, errors, defects, delays, injuries, damages, or losses arising from or relating to those services.

8. Homeowner Responsibilities

Homeowners and property owners agree to:

• provide accurate and complete project, property, access, safety, and contact information
• provide safe and lawful access to the property where services will be performed
• review Service Provider qualifications, experience, licensing, insurance, references, reviews, and suitability
• inspect work before confirming completion or approving payment release
• promptly communicate concerns, disputes, or safety issues
• maintain accurate account, property, billing, and communication information
• comply with applicable laws, property rules, association rules, lease requirements, and permit requirements.

Homeowners acknowledge that Property Link does not independently verify every provider, project, representation, review, credential, qualification, license, insurance policy, or claim.

Users remain responsible for exercising independent judgment when selecting and interacting with providers.

9. No Duty to Supervise, Inspect, or Monitor

Property Link has no duty to supervise, inspect, monitor, direct, manage, control, or evaluate services performed by Service Providers.

Property Link does not supervise:

• work methods
• jobsite activities
• safety procedures
• employees
• subcontractors
• tools
• materials
• equipment
• permits
• inspections
• compliance activities.

Any communications, recommendations, ratings, reviews, verifications, badges, certifications, rankings, profile information, marketing materials, featured listings, advertising placements, sponsorships, or other Platform features shall not be interpreted as supervision, approval, endorsement, certification, or control of any User or service.

10. No Warranty Regarding Providers

Property Link makes no representation, warranty, guarantee, or promise regarding any Service Provider.

Property Link does not warrant that any Service Provider:

• is qualified
• is licensed
• is insured
• is bonded
• is trustworthy
• is competent
• is financially stable
• is suitable for a particular project
• will perform services properly
• will comply with laws
• will comply with building codes
• will complete projects on time
• will avoid damage, injury, misconduct, or disputes.

Any information displayed on the Platform is provided for informational and marketplace convenience purposes only and should not be relied upon as a guarantee, certification, representation, or endorsement by Property Link.

11. Provider Screening, Verification, and Badges

Property Link may request, collect, display, or review information such as identification, business registrations, licenses, insurance certificates, certifications, background information, reviews, ratings, references, or other provider information.

Any screening, verification, review, approval, badge, ranking, profile status, featured status, insurance indicator, license indicator, documentation indicator, or collection of documentation does not constitute an endorsement, certification, guarantee, warranty, or representation regarding any User.

Any screening performed by Property Link is limited in scope and may not identify all past conduct, criminal history, licensing issues, insurance deficiencies, complaints, violations, risks, or concerns. Users should exercise independent judgment and conduct their own due diligence.

Property Link is not responsible for criminal acts, theft, vandalism, fraud, harassment, assault, battery, trespass, misconduct, or unlawful conduct committed by any User.

12. Payments, Stripe Connect, and Payment Processing

Property Link facilitates marketplace transactions through Stripe Connect and other authorized third-party financial service providers. Payment processing services are provided by Stripe Connect, Stripe, financial institutions, card networks, banks, and/or other designated payment service providers, and not by Property Link as a bank or escrow company.

By initiating or participating in a transaction through the Platform, Users authorize Property Link and its Payment Processor to collect, receive, process, allocate, temporarily retain within the payment processing system, transfer, distribute, disburse, reverse, offset, and otherwise administer funds in accordance with these Terms, Stripe's applicable agreements, payment processor requirements, fraud prevention procedures, dispute procedures, tax reporting requirements, compliance procedures, and applicable law.

Users may be required to create or maintain a Stripe Connect connected account or other Payment Processor account in order to receive payouts, commissions, referral payments, provider payments, sponsor-related payments, or other distributions.

By using payment functionality on the Platform, Users agree to comply with all applicable Payment Processor terms, including Stripe's applicable connected account, services, payment, and platform agreements, as updated by Stripe from time to time.

Property Link may transmit information to Stripe Connect and other Payment Processors for identity verification, tax reporting, fraud prevention, compliance review, underwriting, transaction processing, chargeback handling, payout administration, and related purposes.

Property Link is not intended to operate as a bank, trust company, licensed escrow company, or money transmission business. Payment services are intended to be provided through authorized third-party payment providers.

13. Service Completion and Payment Release

For applicable service transactions:

1. A Homeowner requests, books, or accepts services through the Platform.
2. Payment may be authorized, collected, or processed through Stripe Connect or another designated Payment Processor.
3. The Service Provider performs the applicable services.
4. The Homeowner may confirm completion, approve the work, fail to timely respond, or submit a dispute through available Platform procedures.
5. Eligible payout initiation may occur through the Payment Processor according to Platform rules and applicable payment processor requirements.

Homeowner confirmation of completion may trigger payout eligibility. Property Link may also establish automatic release procedures if a Homeowner fails to respond within a designated period, subject to dispute, fraud, compliance, chargeback, or legal review.

Users are responsible for reviewing Platform instructions, transaction screens, and payment-related notices before confirming completion, approving work, or initiating disputes.

14. Disputes Between Users

Property Link may provide tools to facilitate communication and dispute resolution between Users. However, Property Link is not obligated to investigate claims, determine fault, resolve disputes, guarantee outcomes, or issue legal determinations.

Property Link may review information submitted by Users and may take actions relating to Platform operations, account status, payment holds, payout timing, commission eligibility, provider visibility, fraud prevention, or policy enforcement.

Any decision made by Property Link is administrative only and does not constitute a legal determination regarding liability, fault, negligence, damages, contract performance, entitlement, or legal rights.

Disputes concerning services remain primarily between the Homeowner and Service Provider. Users agree to cooperate in good faith and provide information reasonably requested for Platform dispute administration, fraud prevention, chargeback handling, or processor compliance.

15. Chargebacks, Refunds, Reversals, Reserves, and Fraud

Chargebacks, reversals, refunds, payment disputes, processor holds, fraud investigations, banking compliance actions, regulatory requirements, negative balances, or violations of these Terms may delay, suspend, reduce, reverse, offset, or prevent distributions.

Property Link reserves the right, subject to applicable law and payment processor requirements, to:

• reverse or adjust payments
• reverse or adjust commissions
• offset balances
• suspend payouts
• freeze or restrict accounts
• withhold or delay payout initiation
• terminate accounts
• remove users from referral, influencer, sponsor, or provider programs
• recover amounts owed.

Users remain responsible for negative balances, chargeback amounts, refund amounts, processor fees, fraud losses, and amounts owed to Property Link or the Payment Processor arising from their transactions, conduct, or account activity.

16. Platform Operations Discretion

Property Link may, in its sole discretion and for purposes of maintaining the integrity, security, compliance, safety, quality, and efficient operation of the Platform, make operational decisions regarding:

• user eligibility
• account status
• transaction processing
• payment timing
• payout timing
• referral attribution
• commission calculations
• provider visibility
• search rankings
• verification status
• fraud prevention
• dispute handling
• communications
• promotions
• sponsorships
• reviews and ratings
• Platform access
• other Platform functions.

Such operational decisions are business and administrative decisions only and shall not be construed as legal determinations, certifications, guarantees, endorsements, admissions of liability, or findings of fault.

17. Referral, Rewards, and Commission Program

Property Link may offer referral, commission, incentive, reward, affiliate, influencer, ambassador, community partner, sponsor, or similar programs. Eligibility, rates, qualification requirements, attribution rules, payout structures, duration, caps, exclusions, and payment timing are determined solely by Property Link and may be modified, suspended, limited, audited, denied, adjusted, reversed, or terminated at any time.

Unless otherwise specified in a separate written program policy, commissions or referral payments are earned only on Qualifying Transactions that generate actual Net Platform Revenue for Property Link.

Signups alone, account creation, membership enrollment, recruitment activity, attendance, participation, or introduction alone do not create commission entitlement.

Property Link referral programs are intended to reward customer acquisition and business development activities and are not intended to create, promote, or operate as a multi-level marketing program, pyramid scheme, franchise system, securities offering, investment opportunity, or passive income opportunity.

Participation in referral programs does not guarantee compensation, income, commissions, profits, bookings, leads, referrals, business opportunities, or financial success.

Fraud, manipulation, duplicate accounts, self-referrals, misleading advertising, prohibited claims, chargebacks, refunds, reversed transactions, non-qualifying transactions, or violations of Platform policies may void eligibility and may result in commission reversal or forfeiture.

18. Influencer, Ambassador, and Community Partner Programs

Influencers, ambassadors, referral partners, community partners, sponsors, and similar participants participate as independent contractors unless otherwise agreed in a separate written agreement signed by Property Link.

Nothing in these Terms creates employment, agency, franchise, partnership, joint venture, fiduciary, or representative status.

Participants are responsible for tax reporting, compliance with advertising laws, FTC disclosure requirements, truthful marketing, and all statements made in connection with the Platform.

Participants may not:

• make income guarantees
• make passive income claims not approved in writing
• misrepresent Property Link
• make false or misleading claims
• represent themselves as employees, agents, or legal representatives of Property Link
• promise that users will earn money by recruiting others
• suggest that compensation is earned merely by signup, membership, or recruitment
• use deceptive, unfair, or unlawful marketing practices.

19. Taxes and Reporting

Users are solely responsible for tax reporting, tax withholding, tax payments, licensing fees, business registrations, regulatory obligations, and any federal, state, local, or international taxes arising from payments, payouts, commissions, referrals, business activity, or services.

Property Link and/or the Payment Processor may require W-9s, W-8s, taxpayer identification numbers, business information, identity verification, or other documentation before issuing, initiating, or permitting payouts.

Property Link or the Payment Processor may issue 1099s or other tax forms when required by law. Users agree to provide accurate tax information and promptly update such information as necessary.

20. Property Damage, Injury, In-Home Services, and Service Liability

To the maximum extent permitted by law, Property Link shall not be liable for property damage, personal injury, bodily injury, death, contractor negligence, defective workmanship, permit violations, code violations, construction defects, service delays, professional malpractice, theft, assault, misconduct, criminal conduct, fraud, misrepresentations made by users, or any harm arising from services arranged through the Platform.

Users acknowledge that services may take place inside homes, private properties, occupied residences, vacant properties, commercial properties, restricted areas, and job sites. Users are responsible for taking reasonable precautions when granting or receiving access to property.

Homeowners are responsible for safeguarding valuables, securing private areas, supervising access as they deem appropriate, confirming insurance coverage, and determining whether a provider is appropriate for the project.

Service Providers are responsible for safe conduct, lawful conduct, insurance, personnel supervision, materials, equipment, subcontractors, and all work performed at or around the property.

Property Link does not provide insurance coverage for transactions unless expressly stated in writing. Users are encouraged to consult their homeowners, renters, umbrella, commercial liability, workers compensation, business, or other insurance providers regarding potential claims arising from services obtained or provided through the Platform.

21. No Recommendation or Endorsement

Property Link does not recommend, endorse, certify, guarantee, or warrant any Service Provider, Realtor, Sponsor, Influencer, Referral Partner, Community Partner, User, product, service, advertisement, listing, review, rating, or promotion.

Search results, rankings, badges, featured listings, response rates, reviews, ratings, advertising placements, sponsorships, verification indicators, documentation indicators, service categories, or other Platform features are provided for convenience only and do not constitute recommendations, endorsements, certifications, warranties, or guarantees.

22. Emergency Services Disclaimer

Property Link is not an emergency service and should not be used for emergencies. If you believe there is an emergency, immediate danger, criminal activity, fire, medical issue, gas leak, electrical hazard, active water intrusion, structural danger, or other urgent situation, contact 911, emergency services, utility providers, local authorities, or other appropriate emergency professionals.

Property Link does not guarantee that a Service Provider will be available, respond, accept work, arrive within a specific time, or complete requested services.

23. No Guarantee of Availability, Leads, Bookings, or Earnings

Property Link does not guarantee that:

• providers will be available
• homeowners will request services
• bookings will occur
• leads will convert
• messages will be answered
• transactions will be completed
• commissions will be earned
• sponsors will receive specific impressions, clicks, leads, or returns
• influencers or referral partners will earn income
• providers will earn revenue or profits.

All participation in the Platform is at the User's own business risk.

24. User Accounts, Eligibility, and Security

You may be required to register for an account to use certain Platform features. You agree to provide accurate, complete, and current information and to promptly update your information as necessary.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must promptly notify Property Link of suspected unauthorized access, fraud, or security issues.

Property Link may refuse registration, suspend accounts, terminate accounts, restrict access, remove content, withhold payouts, or take other action where it believes such action is necessary to protect the Platform, users, legal compliance, payment integrity, or business operations.

25. User Content, Reviews, Ratings, and Communications

Users may create, upload, submit, display, transmit, publish, or otherwise provide content through the Platform, including messages, photos, videos, reviews, ratings, provider profiles, project information, business information, comments, and other materials (collectively, "User Content").

You represent and warrant that you have all rights necessary to submit User Content and that your User Content is accurate, lawful, non-infringing, and not misleading.

By submitting User Content, you grant Property Link a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, host, store, reproduce, display, distribute, modify, excerpt, promote, and otherwise use such User Content in connection with operating, improving, marketing, and promoting the Platform.

Property Link may remove, restrict, edit, or decline to display User Content at any time. Reviews and ratings reflect user opinions and are not endorsed by Property Link.

26. Prohibited Activities

Users may not:

• violate applicable law
• misrepresent identity, qualifications, licensing, insurance, pricing, services, affiliations, or compensation
• commit fraud or attempt unauthorized transactions
• create fake accounts, duplicate accounts, or self-referrals
• manipulate reviews, ratings, referrals, commissions, or search results
• use the Platform to harass, threaten, abuse, discriminate, or harm others
• upload malware, scrape data, reverse engineer the Platform, or interfere with Platform operations
• make false, deceptive, unfair, or misleading advertising or income claims
• circumvent Stripe Connect, payment processor rules, platform fees, chargeback procedures, or payout controls
• use the Platform for unlawful, dangerous, or emergency purposes
• sell, rent, transfer, or assign an account without written permission.

27. Communications Consent

By creating an account or using the Platform, Users consent to receive emails, SMS messages, push notifications, calls, account alerts, transaction updates, referral updates, payment updates, service communications, and marketing communications from Property Link, its service providers, and where applicable, other users.

SMS Verification and Authentication. We may use third-party messaging providers, including Bird, to send one-time passwords (OTPs), verification codes, account security alerts, login confirmations, and other transactional SMS messages necessary to operate and secure the Platform. By providing your mobile phone number, you consent to receive these transactional messages. Standard message and data rates charged by your wireless carrier may apply. Message delivery is subject to carrier availability and technical limitations and is not guaranteed.

Users may opt out of marketing communications where required by law. Transactional, account, payment, safety, legal, and service-related communications may continue as necessary to operate the Platform.

28. Privacy

Your use of the Platform is also governed by the Property Link Privacy Policy. The Privacy Policy explains how Property Link collects, uses, discloses, stores, and protects information, including information related to accounts, properties, service requests, provider profiles, messages, payments, referrals, commissions, analytics, advertising, and mobile app usage.

By using the Platform, you acknowledge the Privacy Policy.

29. Intellectual Property

The Platform, including software, source code, databases, functionality, designs, text, graphics, logos, marks, service names, trademarks, content, and related materials, is owned by or licensed to Property Link and is protected by intellectual property laws.

Subject to these Terms, Property Link grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for its intended purposes.

You may not copy, reproduce, modify, distribute, sell, reverse engineer, scrape, aggregate, or exploit the Platform except as expressly permitted by these Terms or by written authorization from Property Link.

30. Third-Party Services and Links

The Platform may integrate with or rely upon third-party services, including Stripe Connect, analytics providers, hosting providers, SMS and authentication providers (including Bird), email providers, mapping services, advertising platforms, social media platforms, identity verification providers, and other service providers.

Property Link is not responsible for third-party services, third-party content, third-party terms, third-party outages, third-party errors, third-party payment decisions, or third-party privacy practices. Your use of third-party services may be governed by separate terms and policies.

31. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUR PROPERTY LINK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AVAILABILITY, RELIABILITY, SAFETY, QUALITY, AND PERFORMANCE.

YOUR PROPERTY LINK DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE, ACCURATE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.

YOUR PROPERTY LINK DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY SERVICE, PROVIDER, USER, ADVERTISEMENT, SPONSOR, REFERRAL PARTNER, INFLUENCER, THIRD-PARTY CONTENT, THIRD-PARTY WEBSITE, OR THIRD-PARTY SERVICE.

32. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUR PROPERTY LINK AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE DAMAGES, PROPERTY DAMAGES, PERSONAL INJURY, OR DAMAGES ARISING FROM USER CONDUCT, PROVIDER CONDUCT, OR THIRD-PARTY CONDUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUR PROPERTY LINK'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, OR ANY TRANSACTION SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL PLATFORM FEES PAID DIRECTLY TO YOUR PROPERTY LINK BY YOU DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100), UNLESS APPLICABLE LAW REQUIRES OTHERWISE.

33. Indemnification

You agree to defend, indemnify, and hold harmless Property Link and its owners, officers, directors, employees, contractors, affiliates, agents, successors, and assigns from and against any claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable attorneys' fees, arising out of or relating to:

• your use of the Platform
• your User Content
• your services performed or received
• your property access decisions
• your referral, influencer, sponsor, or marketing activities
• your violation of these Terms
• your violation of law
• your violation of third-party rights
• your fraud, negligence, misconduct, misrepresentation, or omission
• your chargebacks, refunds, reversals, negative balances, or payment disputes
• claims arising from your employees, subcontractors, laborers, agents, assistants, or representatives.

Property Link reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with such defense.

34. Florida Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or any transaction or relationship facilitated through the Platform shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles that would require application of the laws of another jurisdiction.

The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act are excluded to the extent permitted by law.

35. Florida Venue and Jurisdiction

Subject to the arbitration provisions below, any action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Manatee County, Florida, or another Florida venue selected by Property Link where legally permissible. Each party consents to personal jurisdiction and venue in those courts and waives objections based on inconvenient forum or lack of jurisdiction, to the extent permitted by law.

36. Informal Dispute Resolution

Before initiating arbitration or litigation, you agree to first contact Property Link and attempt to resolve the dispute informally. The parties shall attempt in good faith to resolve the dispute for at least thirty (30) days after written notice is provided, unless emergency injunctive relief is required or applicable law prohibits this requirement.

Notice to Property Link must be sent to the support email or mailing address listed in the Contact section, with enough detail to identify your account, transaction, and the nature of the dispute.

37. Binding Arbitration and Class Action Waiver

Except for disputes that qualify for small claims court, claims for injunctive relief, intellectual property disputes, or other claims that may not be arbitrated under applicable law, any dispute arising out of or relating to these Terms, the Platform, or any transaction or relationship facilitated through the Platform shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules.

YOU AND YOUR PROPERTY LINK WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE ACTION TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Arbitration shall be conducted on an individual basis only. The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim.

Unless applicable law requires otherwise, arbitration shall take place in Manatee County, Florida, by video conference, by telephone, by written submissions, or in another format permitted by AAA rules.

If any portion of this arbitration provision is found unenforceable, the unenforceable portion shall be severed to the extent permitted by law, and the remaining provisions shall remain in effect.

38. Time Limit to Bring Claims

To the maximum extent permitted by law, any claim or cause of action arising out of or relating to the Platform, these Terms, or any transaction must be filed within one (1) year after the claim arose, or such claim is permanently barred. This limitation does not apply where prohibited by law.

39. Force Majeure

Property Link shall not be liable for delay, failure, interruption, loss, or inability to perform arising from events beyond its reasonable control, including acts of God, hurricanes, floods, fires, severe weather, pandemics, epidemics, public health emergencies, war, terrorism, civil unrest, labor disputes, utility failures, power outages, internet failures, telecommunications failures, cloud provider outages, Payment Processor outages, Stripe outages, banking system interruptions, cyberattacks, government actions, regulatory actions, supply chain disruptions, or other events beyond reasonable control.

40. Electronic Records, Signatures, and Evidence

You consent to transact electronically and to receive electronic notices, disclosures, agreements, records, communications, and signatures. Electronic records, clickwrap acceptance, account logs, IP logs, timestamps, transaction records, payment records, Stripe Connect records, messages, service records, referral records, and other Platform data may be used as evidence of Platform activity, transactions, acceptance, communications, and agreements.

You agree that electronic signatures and records have the same legal effect as physical signatures and paper records to the fullest extent permitted by law.

41. Modifications to the Platform and Terms

Property Link may modify the Platform, fees, features, policies, eligibility rules, referral rules, payment rules, provider visibility, service categories, sponsor offerings, and these Terms at any time.

If these Terms are updated, the updated version will be posted on the Platform or otherwise made available. Continued use of the Platform after updates become effective constitutes acceptance of the revised Terms, except where additional consent is required by law.

42. Suspension and Termination

Property Link may suspend, restrict, or terminate your access to the Platform at any time where it believes such action is necessary or appropriate, including for suspected fraud, safety concerns, payment issues, chargebacks, legal compliance, violation of these Terms, harm to users, reputational risk, Platform integrity, or business reasons.

Termination does not relieve you of obligations incurred before termination, including payment obligations, indemnification obligations, tax obligations, confidentiality obligations, or obligations arising from disputes, chargebacks, refunds, or reversals.

43. Survival

Any provisions that by their nature should survive termination shall survive, including provisions regarding payments, chargebacks, refunds, reversals, taxes, intellectual property, user content licenses, disclaimers, limitations of liability, indemnification, arbitration, governing law, venue, electronic records, dispute procedures, no fiduciary duty, no agency, and any amounts owed.

44. Assignment

You may not assign or transfer these Terms or your account without Property Link's prior written consent. Property Link may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, reorganization, financing, corporate transaction, change of control, or by operation of law.

45. Severability and Waiver

If any provision of these Terms is found invalid, unlawful, void, or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Failure by Property Link to enforce any provision shall not constitute a waiver of that provision or any other provision.

46. Entire Agreement

These Terms, together with the Privacy Policy and any applicable Payment & Payout Policy, Referral & Rewards Program Terms, Service Provider Agreement, Influencer or Community Partner Agreement, Sponsor Terms, and any other policies or supplemental terms incorporated by reference, constitute the entire agreement between you and Property Link regarding the Platform.
